Agency Partner Terms

Agency Partner Terms

Version: 1.0 Effective date: 20 October 2026 Last revised: 20 October 2026

1. Scope and document priority

These Agency Partner Terms apply when AdProMax Global Limited (“AdProMax”, “we”, “us”) agrees in writing to provide services to an agency (“Agency”, “you”). They apply with the accepted order form, commercial schedule, service description, onboarding record and any DPA (together, the “Service Documents”).

If the Service Documents conflict, the following order applies unless an order form expressly states otherwise: (1) signed order form or master agreement, (2) DPA, (3) commercial schedule or service description, (4) these Terms, and (5) onboarding materials.

2. Company identity

ADPROMAX GLOBAL LIMITED Hong Kong Company No.: 80862783 Business Registration Certificate No.: 80862783-000-07-26-2 Registered office: Room 18, 2/F, TusPark, 118 Wai Yip Street, Kwun Tong, Hong Kong Contact: [email protected]

3. Authority and onboarding

The Agency confirms that it has authority to accept these Terms and that it holds documented authority from each client for whom it requests, administers or uses a service. It must provide accurate onboarding information and promptly notify AdProMax of changes affecting authority, ownership, billing, compliance or risk.

The Agency may use only assets, accounts, data, tracking tools, payment methods and business resources for which it has documented authority. It must provide supporting evidence on request where reasonably needed for onboarding, security, compliance or platform review.

4. Agency and client responsibilities

The Agency remains responsible for its client relationships, instructions and charges unless the parties have signed a direct-billing arrangement for a named client. The Agency is responsible for client creative, targeting, tracking, landing pages, products, fulfilment, customer obligations and advertising claims that it supplies, approves or directs.

The Agency must not represent that AdProMax or any platform has approved a client, campaign, asset or outcome unless the representation is accurate and expressly authorised.

5. External platforms and policy compliance

Advertising platforms independently decide eligibility, account approval, delivery, review, suspension and enforcement. AdProMax does not control those decisions. The Agency and each client must comply with platform policies, applicable law and the Service Documents.

The Agency must not use the service to evade platform policies or enforcement, create misleading identities, bypass verification, obtain unauthorised asset access, use prohibited targeting or data, or submit inaccurate information.

6. Prohibited use and security

The Agency must not engage in unlawful activity, fraud, deception, infringement, policy evasion, unauthorised access, credential sharing, malicious activity or any use that puts AdProMax, a client, a platform or another person at risk.

The Agency must protect access credentials and promptly report suspected unauthorised access, data exposure, account compromise or material security incident involving the service.

7. Pre-funding, fees, taxes, incentives, reconciliation and refunds

Where pre-funding is required, the Agency must provide cleared funds in the amount, currency and timing stated in the Service Documents before activation or continuation of the relevant service. Fees, taxes, currency conversion, platform charges, incentives, reconciliation and eligible refunds are governed by the Service Documents.

The Agency remains responsible for charges associated with its clients unless a direct-billing arrangement is expressly signed. No incentive, credit, refund or balance is due unless it is expressly documented, earned under its conditions and legally available. Eligible refunds are limited to amounts actually recoverable and not already used or restricted by a platform hold, dispute, chargeback, compliance review, tax obligation or other stated restriction.

8. Privacy, personal data and DPA route

Each party must handle personal data in accordance with applicable law and the Service Documents. If AdProMax processes personal data on behalf of the Agency or its client, the parties must use an applicable DPA or other written data-processing arrangement before that processing begins.

The public Privacy Policy covers website use and enquiries only. It does not replace the DPA or Service Documents.

9. Confidentiality and intellectual property

Each party must protect the other’s non-public business, technical, commercial and personal information and use it only for the service relationship. Each party retains ownership of its pre-existing intellectual property. No ownership transfers except as expressly stated in the Service Documents.

10. Suspension, termination and effects

AdProMax may suspend access or performance where reasonably necessary to address security, non-payment, platform restrictions, suspected breach, legal risk, inaccurate onboarding information or harm to the service. Where appropriate, AdProMax will provide notice of the reason and the remediation steps.

Either party may terminate as provided in the Service Documents. On termination, the Agency must stop using the service, pay undisputed amounts due, protect and return or delete confidential information where required, and cooperate with an orderly transition subject to security, law, platform rules and any outstanding obligations.

11. Liability, indemnity, notices and changes

[Legal confirmation required.] Liability caps, exclusions, indemnities and the notice process must be approved for the intended commercial model and jurisdiction before publication or acceptance. Until approved, no specific cap, exclusion or indemnity clause should be treated as final.

AdProMax may update these Terms for future use by publishing a new version and effective date. A material change to an existing relationship requires the notice and acceptance process stated in the Service Documents.

12. Governing law and disputes

Governing law and dispute resolution — [Legal confirmation required]. The governing law, court forum or arbitration mechanism must be approved by legal counsel and stated here before these Terms are made effective.
