White-label Partner Terms
Version: 1.0 Effective date: 20 October 2026 Last revised: 20 October 2026
1. Scope and document priority
These White-label Partner Terms apply when AdProMax Global Limited (“AdProMax”, “we”, “us”) agrees in writing to provide a white-label service to the contracting partner (“Partner”, “you”). They apply together with the accepted order form, commercial schedule, service description, onboarding record and any DPA (together, the “Service Documents”).
If the Service Documents conflict, the following order applies unless an order form expressly states otherwise: (1) signed order form or master agreement, (2) DPA, (3) commercial schedule or service description, (4) these Terms, and (5) onboarding materials. These Terms do not grant services that are not expressly agreed in writing.
2. Company identity
ADPROMAX GLOBAL LIMITED Hong Kong Company No.: 80862783 Business Registration Certificate No.: 80862783-000-07-26-2 Registered office: Room 18, 2/F, TusPark, 118 Wai Yip Street, Kwun Tong, Hong Kong Contact: [email protected]
3. Licence, brand and intellectual property
Subject to the Service Documents, AdProMax grants the Partner a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the agreed white-label services under the Partner’s brand during the agreed term and only for the agreed purpose.
AdProMax retains all right, title and interest in its technology, software, documentation, methods, service configuration and other intellectual property. No ownership transfers to the Partner. The Partner retains ownership of its own brand, end-client materials and assets, subject to the rights needed to provide the service.
The Partner must not state or imply that it is affiliated with, certified by or endorsed by an advertising platform or AdProMax unless that statement is expressly authorised in writing. The Partner must not promise account access, approval, delivery, results, incentives, conversions or performance that are not expressly agreed and supportable.
4. Authority, onboarding and end clients
The Partner confirms that it has authority to accept these Terms and to provide all onboarding information, instructions and materials. It must keep that information accurate and promptly report material changes.
Unless the Service Documents state otherwise, the Partner remains responsible for its end clients, including contracting with them, obtaining required authority and consents, managing expectations and providing first-line support. The Partner must not present AdProMax as the provider to an end client unless expressly agreed in writing.
5. External platforms and compliance
Advertising platforms make their own eligibility, approval, policy, delivery, suspension and enforcement decisions. AdProMax does not control those decisions. The Partner and its end clients must comply with applicable platform rules, law and the Service Documents.
The Partner is responsible for ensuring that all creative, claims, targeting, tracking, landing pages, products, fulfilment practices and other end-client activities it supplies or directs are lawful, accurate and authorised.
6. Prohibited use and asset access
The Partner must not use the services for unlawful activity, fraud, deception, infringement, prohibited products or services, policy evasion, circumvention of platform controls, or unauthorised access to any account, payment method, data, pixel, audience, business asset or other resource.
The Partner must not share credentials, attempt to obtain another party’s assets without documented authority, interfere with security controls, resell access beyond the agreed scope, or assist any person to evade a platform’s rules or enforcement action.
7. Pre-funding, fees, taxes, incentives and refunds
Where pre-funding is required, the Partner must provide cleared funds in the amount, currency and timing stated in the Service Documents before the relevant service can be activated or continued. Fees, taxes, currency conversion, platform charges, incentives, reconciliation and any eligible refund are governed by the Service Documents.
No incentive, credit, refund or balance is due unless it is expressly documented, earned under the stated conditions and legally available. Eligible refunds are limited to amounts actually recoverable, not already used, and not subject to a platform hold, dispute, chargeback, compliance review, tax obligation or other stated restriction. Nothing in these Terms guarantees a refund.
8. Privacy and personal data
Each party must handle personal data in accordance with applicable law and the Service Documents. If AdProMax processes personal data on behalf of the Partner or an end client, the parties must use an applicable DPA or other written data-processing arrangement before that processing begins.
The public Privacy Policy covers the website and enquiries only; it does not replace the applicable DPA or service documents.
9. Confidentiality
Each party must protect the other party’s non-public business, technical, commercial and personal information and use it only to perform or receive the services. This obligation does not apply to information that is public without breach, already lawfully known, independently developed, or required to be disclosed by law, provided that lawful notice is given where permitted.
10. Suspension, termination and effects
AdProMax may suspend access or performance where reasonably necessary to address security, non-payment, platform restrictions, suspected breach, legal risk, inaccurate onboarding information or harm to the service. Where appropriate, AdProMax will give notice of the reason and steps needed to resolve the issue.
Either party may terminate as provided in the Service Documents. On termination, the Partner must stop using the service and any AdProMax materials, return or securely delete confidential information where required, pay undisputed amounts due, and cooperate with an orderly transition subject to security, law, platform rules and any outstanding obligations.
11. Liability, indemnity and notices
[Legal confirmation required.] Liability caps, exclusions, indemnities and the notice process must be approved for the intended commercial model and jurisdiction before publication or acceptance. Until approved, no specific cap, exclusion or indemnity clause should be treated as final.
Notices under these Terms must be sent to the contact details in the Service Documents, unless a signed agreement states a different method.
12. Changes, versioning, governing law and disputes
AdProMax may update these Terms for future use by publishing a new version and effective date. A material change to an existing Partner relationship requires the notice and acceptance process stated in the applicable Service Documents.
Governing law and dispute resolution — [Legal confirmation required]. The governing law, court forum or arbitration mechanism must be approved by legal counsel and stated here before these Terms are made effective.
